BotLab Terms of Service
These Terms of Service ("Terms") govern your access to and use of BotLab's SaaS platform ("Service") provided by BotLab (an AaronRichards Global Partners company) ("we," "us," or "BotLab"). By registering for or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.
1. Definitions
- Account: Your unique BotLab user account, including login credentials.
- User Content: Data, text, files, or other content you upload or generate using the Service.
- Licensed Use: Permission to access and use the Service in accordance with Section 3.
- Lifetime Access: Access to the Service for the operational life of BotLab as defined in our FTC disclosure.
- Services-to-Third-Parties: Delivering services or outputs created with BotLab to your own clients.
2. License Grant and Restrictions
We grant you a non-exclusive, non-transferable, revocable license to:
- Access and use the Service for your internal business purposes.
- Provide services to third parties using outputs generated by the Service.
You may not:
- Sell, sublicense, distribute, rent, or lease BotLab as a standalone platform.
- Reverse engineer, decompile, or otherwise attempt to extract source code.
- Remove or alter any copyright or proprietary notices.
3. Accounts and Security
- You must register for an Account using accurate, complete information.
- You are responsible for maintaining the confidentiality of your credentials.
- Notify us immediately of any unauthorized use of your Account.
- We may suspend or terminate Accounts for security concerns or fraud.
4. Fees, Billing, and Lifetime Access
- Access tiers, pricing, and payment terms are posted on our pricing page.
- Lifetime Access entitles you to the Service for as long as BotLab remains available.
- All fees are non-refundable except as required by law.
- We reserve the right to modify fees for new subscriptions upon 30 days' notice; existing Lifetime Access holders retain their terms.
5. User Content and Data
- You retain ownership of your User Content.
- You grant BotLab a worldwide, royalty-free license to host, copy, and display your User Content solely to provide the Service.
- We implement commercially reasonable security measures to protect your Data.
6. Service Use and Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe third-party rights or BotLab's intellectual property.
- Transmit malware, spam, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Service.
7. Support and Service Levels
- Standard support is included for all accounts.
- We aim for 99.5% uptime; scheduled maintenance may result in brief downtime.
- Premium support plans are available under separate agreement.
8. Intellectual Property
- All intellectual property rights in the Service and BotLab trademarks belong to BotLab (an AaronRichards Global Partners company).
- No title or ownership in the Service is transferred to you under these Terms.
9. Disclaimers and Limitation of Liability
- THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE."
- BOTLAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTLAB'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE PRIOR 12 MONTHS.
10. Indemnification
You agree to indemnify and hold BotLab, its officers, and employees harmless from any claim arising out of:
- Your violation of these Terms.
- Your misuse of the Service.
- Your infringement of third-party rights.
11. Termination
- Either party may terminate for material breach upon written notice if the breach remains uncured after 30 days.
- Upon termination, your license ends and you must cease all use of the Service.
- We may delete your Account and User Content in accordance with our data retention policy.
12. Changes to Terms
We may update these Terms at any time. We will notify you by posting the revised Terms and indicating the "Last Updated" date. Continued use after changes constitutes acceptance.
13. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Illinois, without regard to conflict-of-law principles.
- Exclusive jurisdiction resides in the state or federal courts located in DuPage County, Illinois.
